Promotional Terms and Conditions

1. Introduction

This document sets out the promotional terms and conditions (“T&Cs) for merchant account (“Account”) and its related services offered by payabl. (“Services”). It also sets out other important things that you need to know. These T&Cs, together with the Payment Accounts Agreement, fee pricing, privacy policy and any other terms and conditions that apply to our services, constitute the entire agreement (the “Agreement”) between

  • you, a business, as the account holder; and
  • us, payabl. UK Limited. In the event of any conflict, these T&Cs shall prevail with respect to the matters expressly covered herein.

 

By accessing or using the Services in any form, you accept and agree to comply with these T&Cs, as well as our Privacy Policy https://payabl.com/privacy-policy which explains how we handle and process personal data. If you do not agree to these Terms, please do not use the Services. Your acceptance and continued use of the Services constitute a binding contractual relationship between you and payabl., and you will be considered our client.

We reserve the right to amend these T&Cs unilaterally at any time and such changes will become effective upon their publication. You are advised to regularly check our Website to review the latest version of these T&Cs.

2. Company Details

We, PAYBAL. UK LIMITED, a company registered in England and Wales with registration number 13639825 and registered address at Napier House, 24 High Holborn, London, WC1V 6AZ, United Kingdom (“payabl.”, “we” or “our”). Payabl. operates the website www.payabl.com (“Website”) and the services available through our application and payment solutions.

Payabl. is a licensed electronic money institution regulated by the Financial Conduct Authority (“FCA”) with license number: 967259.

 

3. Promotional Offer

3.1. From time to time, payabl. may make promotional offers, incentives, pricing discounts, fee waivers, cashback programmes or referral rewards (“Offer”) available to eligible customers.

3.2. In order to be eligible for this Offer, you must satisfy the following requirements:

3.2.1. to act in good faith in applying this Offer and comply with the T&Cs and our privacy policy, together with any other agreement you may have signed with payabl.;
3.2.2. use the Offer strictly for business purposes only and not for personal or family purposes.
3.2.3. Operate a legally registered business in the United Kingdom;
3.2.4. Hold no more than one Account per business in connection with this Offer;
3.2.5. not apply for a new Account if any Account held by you or your business has previously been closed or suspended by us;
3.2.6. provide true, complete and accurate information during the application and onboarding process and continue to keep your information up to date;
3.2.7. successfully pass all know-your-customer (KYC), anti-money laundering (AML), sanctions screening and other compliance checks performed by payabl. or third parties acting on our behalf;
3.2.8. meet any minimum turnover, business sector, risk profile or geographic requirements communicated by payabl. in connection with the Offer.

3.3. The eligibility criteria in clause 3.2 are non-exhaustive. Payabl. may, at its sole discretion, impose additional criteria or amend, remove, or update existing criteria to comply with legal, regulatory, or internal risk requirements. Any additional requirements will be specified in the relevant promotional materials or campaign documentation.

 

4. Activation of the Offer

4.1. The Offer will only apply once:

4.1.1. your application has been reviewed and approved by us at our sole discretion;
4.1.2. your Account has been successfully opened and activated;
4.1.3. you have satisfied all applicable eligibility criteria for the Offer and these T&C; and
4.1.4. the Offer is addressed to your business.  

4.2. Each Offer is available strictly for a limited period as specified in the relevant promotional campaign or accompanying information. If no end date is stated, payabl. reserves the right to end the Promotional Offer at any time (“Promotional Period”).

 

5. Restrictions

5.1. This Offer may not be combined with any other promotion, discount, or incentive offered by Payabl. You are only eligible to receive this Offer once, regardless of the number of Accounts you maintain with us.
5.2. This Offer is non-transferable and cannot be exchanged for cash.
5.3. This Offer may be subject to additional terms and conditions, which form part of this Agreement.

 

6. Termination and Suspension of the Offer

6.1. We may disqualify you from current or future Offer(s) if we reasonably believe that:

6.1.1. you no longer meet the eligibility criteria set out in clause 3; 
6.1.2. multiple Accounts have been created to obtain more than one Offer;
6.1.3. you provide false, misleading, or incomplete information has been provided to gain eligibility; or
6.1.4. the Offer is being abused or used in bad faith.

6.2. If we have reasonable grounds to believe that you have engaged in fraud, abuse, or misuse of this Offer, including attempting to obtain benefits through deception, false information, or other improper conduct, we may, at our sole discretion (i) withdraw your eligibility, (ii) refuse to apply or honour the Offer, (iii) close or suspend your Account, and/or (iv) take any other action we deem appropriate in the circumstances.

6.3. Payabl. may terminate, suspend, or withdraw the Offer at any time, with or without notice, including but not limited to:

6.3.1. When the specified Promotional Period comes to an end;
6.3.2. There are changes in regulatory or legal requirements;
6.3.3. When there are operational, technical, or security issues that prevent fulfilment of the Offer;
6.3.4. When there are events outside Payabl.’s reasonable control, including force majeure; or
6.3.5. When we detect any error in the application or processing of the Offer.

6.4. We reserve the right, at any time and without prior notice, to amend, suspend or withdraw any Offer and terminate these T&Cs together with any promotional terms offered by payabl. We may also revoke any benefit granted under any Offer if we determine that the Offer was applied in error, obtained through misuse, fraudulent activity, abuse of the offer, or breach of this Agreement.

 

7. Consequences of Termination or Suspension

7.1. Upon termination, suspension, or withdrawal of the Offer:

7.1.1. you will no longer be entitled to participate in, claim, or benefit from the Offer;
7.1.2. any unclaimed or unutilised benefits will be forfeited without compensation;
7.1.3. Payabl. may adjust, reclaim, or offset any benefit previously applied or credited under the Offer;
7.1.4. your Account will remain subject to the Payment Accounts Agreement signed with payabl., unless closed or suspended pursuant to these T&Cs;
7.1.5. any actions taken by payabl. under this clause shall not give rise to any liability for loss, damages, or compensation, to the fullest extent permitted by law.

 

8. General Provisions

8.1. Payabl. may amend, suspend, or cancel this Offer, or update these T&Cs, at any time. If any change or cancellation is made before the end of the Promotional Period, we will provide notice where reasonably practicable, for example through email or our website. Any changes will not affect your rights if you have already validly qualified for and participated in the Offer before the date the change takes effect.
8.2. Where this Offer includes a free trial period or fee waiver, this will apply only for the period specified in the promotional materials. We will communicate the applicable duration of the Offer to you before you participate.
8.3. Payabl. will not be liable for any delay, loss, or failure to fulfil this Offer due to circumstances beyond our reasonable control, including system failures, regulatory requirements, strikes, or events classified as force majeure.
8.4. Any personal data processed in connection with this Offer will be handled in accordance with Payabl.’s Privacy Policy, available at https://payabl.com/privacy-policy.
8.5. These T&Cs are governed by the laws of England and Wales. Any disputes arising out of or in connection with these T&Cs shall be subject to the exclusive jurisdiction of the courts of England and Wales.
8.6. If you wish to make a complaint against payabl., you should notify payabl. of the complaint without delay. To enable payabl. to investigate the complaint promptly and effectively, you must provide with full details of the circumstances giving rise to the complaint. Payabl. may not commence investigations until such details have been received. You can file your complaint via e-mail: complaintsuk@payabl.com.
8.7. If any provision (or part of a provision) of the T&Cs is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the extent necessary to make it valid and enforceable, or if not possible, it shall be deemed deleted. This shall not affect the validity and enforceability of the remaining provisions
8.8. Nothing in this Agreement is intended to, or shall be deemed to, establish any partnership or joint venture or create any fiduciary relationship between the parties, constitute either party the agent of the other party, nor authorise either party to make or enter into any commitments for or on behalf of the other party.
